These Terms of Service (“Terms”) govern your access to and use of reefmaker.com and related online pages operated by Walter Marine I LLC, doing business as ReefMaker (“ReefMaker,” “we,” “us,” or “our”).
By accessing or using the website, you agree to these Terms. If you do not agree, do not use the website.
- SCOPE OF THESE TERMS
These Terms govern the public website, its content, and inquiries submitted through it.
They do not, by themselves:
• create a customer, contractor, engineering, consulting, agency, partnership, fiduciary, or joint-venture relationship;
• constitute a proposal, purchase order, project authorization, permit application, engineering certification, or construction contract; or
• replace a signed proposal, customer agreement, purchase order, nondisclosure agreement, deployment agreement, warranty, or other project-specific contract.
If a signed agreement conflicts with these Terms regarding a particular project, the signed agreement controls for that project.
- ELIGIBILITY AND AUTHORITY
You must be legally capable of agreeing to these Terms.
If you use the website for a company, government agency, municipality, nonprofit organization, contractor, developer, property owner, or another entity, you represent that you are authorized to act for that entity in connection with your use of the website.
The website is intended primarily for adult business, government, technical, professional, and stakeholder audiences. It is not directed to children under 13.
- INFORMATIONAL PURPOSES ONLY
Website content is provided for general informational and preliminary business-development purposes.
Unless expressly stated in a document signed by an authorized ReefMaker representative, website content is not:
• professional engineering advice;
• coastal, geotechnical, structural, environmental, biological, navigational, or legal advice;
• a site-specific design or performance analysis;
• a permitting determination or regulatory approval;
• a construction specification;
• a safety instruction or navigational notice; or
• a promise of project eligibility, habitat performance, environmental outcome, or regulatory acceptance.
Qualified professionals and relevant authorities should evaluate the conditions, design, permitting, placement, monitoring, and operation of each project.
- PRODUCT AND SERVICE INFORMATION
ReefMaker seeks to present accurate information about its artificial reef structures, habitat systems, shoreline-protection solutions, wave-attenuation systems, custom designs, deployment capabilities, and related services.
However:
• photographs may show previous projects, representative configurations, prototypes, or products under conditions different from your project;
• dimensions, weights, materials, configurations, accessories, and installation methods may change;
• product availability and production schedules may vary;
• site conditions may require design modifications; and
• not every product or configuration is suitable for every location or application.
A product name, description, image, specification, benefit, or intended application does not guarantee a particular outcome.
- ENVIRONMENTAL AND PERFORMANCE STATEMENTS
Environmental response depends on numerous factors beyond ReefMaker’s control, including:
• site selection;
• depth and bathymetry;
• substrate and sediment conditions;
• water quality and salinity;
• currents, waves, storms, and water temperature;
• placement configuration;
• species availability and ecological conditions;
• fishing pressure and vessel activity;
• maintenance and monitoring; and
• regulatory or project-management decisions.
Statements describing habitat creation, colonization, fish aggregation, oyster settlement, wave attenuation, erosion reduction, biodiversity, shoreline resilience, or similar benefits describe intended functions, design objectives, general scientific principles, or documented project observations only where expressly identified.
They are not guarantees of environmental recovery, species abundance, regulatory credit, mitigation success, storm protection, financial return, or a specific performance level.
Project-specific performance criteria must be included in a signed agreement and supported by the required site assessment, engineering, testing, and monitoring.
- INQUIRIES, CONSULTATIONS, AND QUOTE REQUESTS
Submitting a form or contacting ReefMaker:
• requests communication only;
• does not require ReefMaker to accept a project;
• does not reserve production or deployment capacity;
• does not create an exclusive relationship; and
• does not form a binding contract.
ReefMaker may request additional information before evaluating a project.
You are responsible for providing information that is accurate, complete, current, and authorized for disclosure. ReefMaker may rely on information you provide when preparing preliminary recommendations or quotations.
- PRICES, ESTIMATES, AND QUOTATIONS
Any price, “starting at” amount, estimate, schedule, or cost example displayed on the website is preliminary and nonbinding unless incorporated into a written agreement signed by an authorized ReefMaker representative.
Unless expressly included in a written quotation, displayed prices may exclude:
• taxes and governmental fees;
• engineering and site assessment;
• customization and accessories;
• permits, applications, surveys, and monitoring;
• freight, staging, vessel, crane, diving, and deployment costs;
• mobilization and demobilization;
• insurance, bonding, and special compliance costs; and
• work required because of site conditions or changes in project scope.
ReefMaker may correct pricing or specification errors and may revise or withdraw a quotation before acceptance in accordance with its stated terms.
- PROJECT APPROVALS AND SITE RESPONSIBILITIES
Project activities may require approval from property owners, municipalities, state or federal agencies, navigation authorities, environmental regulators, the U.S. Army Corps of Engineers, or other authorities having jurisdiction.
Website content does not establish that a project:
• is legally permissible;
• qualifies for a permit, grant, restoration credit, mitigation credit, or funding;
• complies with navigational, environmental, coastal, fisheries, or construction requirements; or
• is suitable for a particular site.
Responsibility for site control, permits, surveys, approvals, utility identification, stakeholder coordination, and project documentation will be allocated in the applicable written agreement.
- STORMS, MARINE CONDITIONS, AND FORCE MAJEURE
Marine projects may be affected by severe weather, hurricanes, changing seabed conditions, vessel availability, supply interruptions, regulatory delays, port restrictions, emergencies, or other circumstances beyond reasonable control.
Any scheduling, delay, risk-allocation, warranty, force-majeure, or remediation obligations for a project must be stated in the applicable written agreement. General website statements do not create such obligations.
- INTELLECTUAL PROPERTY
The website and its content—including text, product descriptions, designs, diagrams, photographs, videos, graphics, logos, trademarks, software, page layouts, and downloadable materials—are owned by ReefMaker, licensed to ReefMaker, or used with permission and are protected by applicable intellectual-property laws.
Subject to these Terms, ReefMaker grants you a limited, revocable, nonexclusive, nontransferable license to view and use the website for legitimate personal, professional, procurement, research, or project-evaluation purposes.
Without written permission, you may not:
• reproduce, republish, sell, license, or commercially exploit website content;
• remove copyright, trademark, credit, or proprietary notices;
• present ReefMaker content as your own work;
• use images or designs to manufacture, reverse engineer, or create competing structures;
• scrape or systematically extract website content; or
• use ReefMaker names, logos, or trademarks in a manner suggesting endorsement or affiliation.
“ReefMaker” and associated names, product names, designs, and logos may be trademarks or trade dress of ReefMaker or their respective owners. No trademark license is granted by these Terms.
- USER-SUBMITTED MATERIALS
You retain ownership of materials you submit, subject to any rights belonging to third parties.
By submitting project information, documents, photographs, plans, or other materials, you grant ReefMaker a nonexclusive, limited license to receive, store, reproduce, review, and share those materials internally and with necessary service providers or project participants for the purpose of:
• responding to your inquiry;
• evaluating the proposed work;
• preparing a proposal or estimate;
• providing requested services;
• maintaining business and legal records; and
• protecting ReefMaker’s legal rights.
This license does not authorize ReefMaker to publicly use your confidential project materials for marketing without separate permission or another valid legal basis.
You represent that:
• you have the right to submit the materials;
• the materials are accurate to the best of your knowledge;
• their submission and authorized use do not violate another person’s rights; and
• they do not contain malware, unlawful content, or information you are prohibited from disclosing.
- CONFIDENTIAL INFORMATION
The website contact form is not a secure method for transmitting trade secrets, classified information, export-controlled information, protected government information, or highly sensitive project data.
A submission is not automatically subject to a nondisclosure obligation. If confidentiality is required, contact ReefMaker to determine whether an appropriate written nondisclosure agreement should be executed before sensitive information is transmitted.
- ACCEPTABLE USE
You agree not to:
• use the website for unlawful, fraudulent, deceptive, or harmful activity;
• impersonate another person or misrepresent your authority or affiliation;
• submit false, misleading, defamatory, infringing, or unauthorized material;
• attempt to obtain unauthorized access to a system, account, database, or network;
• bypass security, rate limits, consent controls, or access restrictions;
• introduce malicious software or harmful code;
• interfere with website availability or another person’s use;
• conduct unauthorized vulnerability testing or automated scraping;
• collect personal information from the website without authorization; or
• use website content to violate intellectual-property, privacy, export-control, sanctions, or other laws.
ReefMaker may investigate suspected misuse and cooperate with lawful authorities.

The website may contain links to government agencies, technical resources, news articles, social networks, suppliers, partners, or other third-party websites.
Links are provided for convenience or context. Unless expressly stated, ReefMaker does not control, endorse, warrant, or accept responsibility for third-party content, services, availability, security, or privacy practices.
Your interactions with a third party are governed by that party’s terms and policies.
- PRIVACY AND COOKIES
ReefMaker’s collection and use of personal information through the website are described in its Privacy Policy.
The use of cookies and similar technologies is described in its Cookie Policy.
These policies are incorporated into these Terms by reference.
- WEBSITE AVAILABILITY AND CHANGES
ReefMaker may, at any time and without liability:
• modify website content or functionality;
• correct errors;
• add, modify, or discontinue a product or service description;
• restrict access to all or part of the website; or
• suspend the website for maintenance, security, operational, or legal reasons.
ReefMaker does not guarantee uninterrupted or error-free access.

TO THE MAXIMUM EXTENT PERMITTED BY LAW, THE WEBSITE AND ITS CONTENT ARE PROVIDED “AS IS” AND “AS AVAILABLE.”
REEFMAKER DISCLAIMS ALL EXPRESS AND IMPLIED WARRANTIES CONCERNING THE WEBSITE, INCLUDING IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, TITLE, NON-INFRINGEMENT, ACCURACY, AVAILABILITY, AND SECURITY.
REEFMAKER DOES NOT WARRANT THAT:
• THE WEBSITE WILL BE UNINTERRUPTED, ERROR-FREE, OR FREE FROM HARMFUL COMPONENTS;
• WEBSITE INFORMATION WILL BE COMPLETE OR SUITABLE FOR A PARTICULAR PROJECT;
• A PRODUCT WILL BE AVAILABLE IN A PARTICULAR CONFIGURATION; OR
• ANY PROJECT WILL RECEIVE APPROVAL OR ACHIEVE A PARTICULAR ENGINEERING, ENVIRONMENTAL, REGULATORY, OR ECONOMIC RESULT.
Some jurisdictions do not allow certain warranty exclusions. In those jurisdictions, exclusions apply only to the extent legally permitted.
Project-specific warranties, if any, are governed exclusively by the applicable signed agreement.
- LIMITATION OF LIABILITY
TO THE MAXIMUM EXTENT PERMITTED BY LAW, REEFMAKER AND ITS OWNERS, OFFICERS, EMPLOYEES, CONTRACTORS, AND AGENTS WILL NOT BE LIABLE FOR INDIRECT, INCIDENTAL, SPECIAL, EXEMPLARY, CONSEQUENTIAL, OR PUNITIVE DAMAGES ARISING FROM OR RELATED TO THE WEBSITE, INCLUDING LOST PROFITS, LOST REVENUE, LOST DATA, LOSS OF BUSINESS OPPORTUNITY, OR PROJECT DELAY.
TO THE MAXIMUM EXTENT PERMITTED BY LAW, REEFMAKER’S TOTAL LIABILITY ARISING FROM USE OF THE PUBLIC WEBSITE OR THESE TERMS WILL NOT EXCEED THE GREATER OF:
• THE AMOUNT YOU PAID REEFMAKER SPECIFICALLY FOR ACCESS TO THE WEBSITE DURING THE SIX MONTHS BEFORE THE EVENT GIVING RISE TO THE CLAIM; OR
• ONE HUNDRED U.S. DOLLARS.
This website-specific limitation does not replace a liability provision in a signed project agreement.
Nothing in these Terms excludes liability that cannot lawfully be excluded or limited.
- INDEMNIFICATION
To the extent permitted by law, you agree to defend, indemnify, and hold harmless ReefMaker and its owners, officers, employees, contractors, and agents from third-party claims, damages, liabilities, judgments, costs, and reasonable attorneys’ fees arising from:
• your unlawful or unauthorized use of the website;
• materials you submit;
• your violation of these Terms; or
• your violation of another person’s rights.
This section does not require indemnification for conduct to the extent caused by ReefMaker’s own negligence, willful misconduct, or other liability that cannot lawfully be shifted.
- SUSPENSION AND TERMINATION
ReefMaker may restrict or terminate access to the website when it reasonably believes a user has:
• violated these Terms;
• created a security or legal risk;
• interfered with website operation; or
• used the website fraudulently or unlawfully.
Provisions that by their nature should survive termination will remain effective, including intellectual-property, disclaimer, limitation-of-liability, indemnification, and dispute provisions.
- GOVERNING LAW AND VENUE
These Terms are governed by the laws of the State of Alabama, without regard to conflict-of-law principles.
Unless applicable law requires otherwise, any legal proceeding arising exclusively from the public website or these Terms must be brought in a state or federal court with jurisdiction in Baldwin County, Alabama. Each party consents to the personal jurisdiction and venue of those courts.
This provision does not replace a governing-law, venue, mediation, or arbitration provision in a signed project agreement.
- NOTICES
ReefMaker may provide notices by:
• posting them on the website;
• sending them to an email address you supplied; or
• using another reasonable communication method.
You are responsible for ensuring that contact information supplied to ReefMaker remains accurate.
- CHANGES TO THESE TERMS
ReefMaker may update these Terms to reflect changes in its website, services, operations, or legal obligations.
Updated Terms will be posted with a revised “Last Updated” date. Material changes will apply prospectively unless otherwise permitted by law.
Your continued use of the website after revised Terms take effect constitutes acceptance of the revised Terms.
- GENERAL PROVISIONS
Entire agreement. These Terms, together with the incorporated Privacy Policy and Cookie Policy, form the complete agreement concerning use of the public website. They do not replace a signed project agreement.
Severability. If a provision is held unenforceable, it will be modified to the minimum extent necessary or severed, and the remaining provisions will continue in effect.
No waiver. A failure to enforce a provision is not a waiver of the right to enforce it later.
Assignment. You may not assign rights or obligations under these Terms without ReefMaker’s written consent. ReefMaker may assign these Terms in connection with a reorganization, merger, acquisition, asset transfer, or operation of the website.
Headings. Headings are provided for convenience and do not limit the meaning of a provision.
Electronic communications. You consent to receive website-related communications electronically where legally permitted.
